Terms of Business

All current and future contract relationships between Trainer and Coaches of IdeaManagement and participants shall be governed by the following general terms and conditions. Agreements concluded between Trainers and Coaches of IdeaManagement and participants, regardless where IdeaManagement shall render its services, shall be governed by and construed in accordance with German law whereby the applicability of the UN-convention on the international sale of goods shall be excluded.

General
All agreements between the principal and agent pertaining to mutual services as well as any changes or amendments thereto must be in writing and are binding. This is also valid for registrations and confirmations over the internet.

Agents within the meaning of these Terms and Conditions are, Trainers, Consultants, Employees and Freelance Workers of IdeaManagement Worldwide GmbH as well as their subsidiaries and cooperation partners. The Agents shall perform the service themselves. The Agent agrees to maintain secrecy with regard to any and all relevant processes, which become known to him during the course of his work with the principal. Principal within the meaning of these terms and conditions are both companies and individual persons.

The Principal is informed of the scope, form, theme and aim of the services of the Agent via documents, brochures or the internet. The prices in the written order and/or registration confirmation shall be valid not including VAT. Services that are not completely used will not be reimbursed. Travel expenses and accommodation as well as material or technical costs for company internal workshops will be billed separately.

The Agents are not liable for accidents, loss or damage of property.

Number of participants
In order to carry out workshops and coachings efficiently and to maintain a high quality standard the number of participants is limited. Registrations will be considered in the order of receipt. For this reason we recommend early registration.

Duties of the participants
The participants are aware of the fact that during the course of the seminar personal and professional situations may arise, which are confidential. They agree to maintain secrecy with regard to any and all of these situations outside of the seminar.

In order to participate in any of the events and coaching sessions we expect that the participants have normal physical and psychological resilience. All of the participants carry the responsibility for themselves and for their health at all times as to how far they can participate in the proceedings on offer.

Registration for Open Workshops
Following receipt of his/her registration the Principal will receive a written confirmation, information on the seminar hotel and the invoice, which is to be paid at the latest 4 weeks before the beginning of the event. Only then can participation in the workshop be guaranteed. In the case of short-term registration the invoice shall become due immediately.

Hotel reservations are to be carried out by the Principals themselves. The Agents will reserve a respective amount of rooms before the beginning of the workshop.

In the case of too few participants or of an important reason the event can be cancelled before the beginning of the event and an alternative date will be given. In this case the Agent is only obliged to reimburse seminar fees already paid.

Company Internal Workshops
Where nothing else has been agreed upon in writing, in principal every event is held outside the company. The Principal will reserve rooms with sufficient space and daylight. The selection of the rooms is to be taken exclusively with the interests of the participants in mind.

Should the rooms not fulfill the conditions set forth in the order confirmation, the rooms may be improved or the Agent may book other rooms after getting in touch with the Principal. Any further costs will be borne by the Principal. The Principal shall also select the technical equipment to provide the services. Every invoice shall become due within 2 weeks of receipt without reductions.

The Principal shall inform the Agent of any situations, which are relevant to the execution of the order. In the case of projects a responsible contact person is to be named.

Cancellations
If participation in a workshop or the execution of a workshop is not possible the Principal shall not incur any costs if the a written cancellation reaches the Agent at the latest 4 weeks before the beginning of an Open Workshop and 6 months before the beginning of a Company Internal Workshop. In the case of later cancellations the cancellations fees in the registration and order confirmation forms shall apply. In the case of Open Workshops the Principal shall have the right to name a substitute participant who fulfills the requirements of participation in the workshop.

Cancellation of the Workshop
If the date to carry out the service cannot be adhered to due to force, major illness, death of next to kin, accident or for other reasons for which the Agent is not responsible, the Agent shall provide a replacement trainer or coach excluding any and all obligations for damages, or a new date shall be offered. Additional claims for expense e.g., hotel cancellation fees, travel expenses shall not apply.

Illness
In the case of illness causing a short term cancellation, notification and a copy of the Dr's certificate would make a change of date possible.

Copyright
Both participants and Principals shall recognize the copyright rights of IdeaManagement for all events. They will only use these personally and not pass them on to third parties, nor copy them or publish them. This applies in every form of display, overviews, drawings, flipcharts, speech, presentations, logos, drafts, databases, computer programs, film and web pages. Personal passwords which are given are to be treated in confidence. Recording or videotaping the events is prohibited.

For internal purposes within the company the knowledge acquired in the Workshops and Coachings may be copied and distributed with the notation: "Inspired by IdeaManagement". In each case however they must contain a note referring to the copyright of IdeaManagement.

Training
Any arbitration of the IdeaManagement-models outside of the specified companies charged is exclusively allowed to licensed Ideamanagement-Trainers. Every form of misuse will be followed by legal prosecution.

Any additional use, utilization, copying, distribution or publication requires the previous explicit permission of the originator. This is particularly true for a second use or second publication and for the entry or presentation of the data or models in the internet, in online databases or other electronic archives. None of the documentation may be distributed without the written consent of the author, also in the case of own training purposes.

The trademarks IdeaManagement, IdeaManager, CreativeSpaceManagement, Creative SpiritManagement and Creative SelfManagement are internationally registered trademarks of IdeaManagement Worldwide, GmbH, Frankfurt. They are to be marked respectively in any reproductions of the Principal.

Remarks on Data Protection
Data pertaining to person, and data pertaining to client companies will be stored and distributed in accordance with the provisions of the data protection act.

The internet sites offered by IdeaManagement allow the user to acquire important information via a session-id. This data is evaluated internally and anonymously in order to improve the user friendliness and the offer itself. They will not be passed on to any third parties. Both the Principal and any other interested parties have the right to information regarding any information stored about them. Upon request we will delete this information completely and immediately. Entry of data in one of the service or registration forms prerequisites acceptance of this procedure.

Ideas and solutions developed in workshops and trainings may be used and published by the Agents and principles, where they are not part of the Confidentiality Agreement. Feedback on the events may be used by the Agents as references for interested parties.

Other Conditions
These Terms and Conditions have preference before any contrary terms and conditions of the Principal.  Should one of the provisions of these Terms and Conditions prove invalid or become invalid, this shall not effect the remaining provisions of the Agreement. The parties shall replace the provisions with a clause acceptable to both parties.

The exclusive place of jurisdiction for all claims arising from the agreement to which these Terms and Conditions apply is Frankfurt am Main. German law only shall apply.
